1. Agreement to Terms & Parties

These Terms & Conditions ("Terms") constitute a legally binding contract between you (the "User", "Client", or "Licensee") and Kalidas Aneesh, an independent creator and music producer professionally operating as KALIUM ("we", "us", or "our"), governing your access to and use of kalium.space, its subpages, customer profile vaults, sound libraries, client services, and associated digital storefronts.

By accessing this website, registering an account, downloading any audio stems or templates, or making any payment via Razorpay or UPI, you unconditionally agree to be bound by these Terms and our companion policies: Privacy Policy, Refund & Delivery Policy, and Copyright & DMCA Policy. If you do not agree to every provision, you must immediately cease all access and use.

2. Intellectual Property & Remix Policy

Original Works: All original compositions (including Silence, Memory, Aera, Alone, Don't Hold Back, Cause of You), original sound design libraries, FL Studio project files, motion designs, video reels, graphic artwork, and code are the exclusive intellectual property of Kalidas Aneesh and protected under the Indian Copyright Act, 1957.

3. Digital Sound Pack & Creator Assets EULA

When you purchase or download sound packs, FL Studio project templates, preset banks, drum kits, Notion workspaces, or wallpapers from KALIUM, you are granted a limited license, not an outright assignment of ownership:

• Scope of License: You receive a non-exclusive, worldwide, royalty-free, perpetual license to use the individual audio samples, loops, and synth presets in your own original musical recordings, beats, film scores, and commercial song releases. You keep 100% of the royalties from songs you produce with these samples.
• Strictly Prohibited Uses: You may NOT resell, sub-license, give away, share, or redistribute the raw samples, loops, presets, Notion templates, or project files as standalone sound libraries, sample packs, or competitive assets, whether modified or unmodified. You may not upload raw samples to sample-sharing marketplaces (e.g., Splice, Loopcloud, Looperman).
• Content ID Restriction: You agree NOT to register raw, unmanipulated KALIUM loops or sample pack audio into YouTube Content ID, Audible Magic, or any automated digital fingerprinting database as your own exclusive creation, as this causes false copyright claims for other producers.

4. Freelance Client Services & Production Terms

For clients contracting Kalidas Aneesh for bespoke music production, audio mixing/mastering, commercial video editing, or web development:

• IP Transfer Milestone: Full intellectual property rights and copyright in custom deliverables transfer to the client only upon 100% receipt and full clearance of agreed compensation. Any preliminary drafts or project files delivered prior to final settlement remain the exclusive property of KALIUM.
• Client Materials Warranty & Indemnity: The client warrants that all footage, audio, graphics, trademarks, and scripts supplied to KALIUM for incorporation into projects are either owned by the client or properly licensed. The client agrees to defend, indemnify, and hold harmless KALIUM against any copyright or trademark claims arising from materials provided by the client.
• Revision Bounds: Standard project quotes include up to two (2) complimentary rounds of revisions within the agreed scope. Out-of-scope modifications and subsequent revision rounds will be billed at standard studio hourly rates.

5. Payments, Security & Razorpay

All transactions on this website are processed securely via Razorpay (Razorpay Software Private Limited), an RBI-authorized Payment Aggregator supporting UPI, Net Banking, and major cards.

KALIUM never stores debit/credit card numbers or CVVs on local servers. All payment handling complies with PCI-DSS Level 1 specifications managed directly by the payment gateway.

6. Disclaimer of Warranties ("AS IS")

KALIUM does not warrant that digital files will be compatible with every operating system, third-party DAW version (FL Studio, Ableton, Logic Pro), or third-party VST plugin. You assume all responsibility for testing and backing up downloaded digital assets.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KALIDAS ANEESH (KALIUM), HIS AFFILIATES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, GOODWILL, REPUTATIONAL HARM, OR EQUIPMENT DAMAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THIS WEBSITE OR DIGITAL ASSETS.

AGGREGATE LIABILITY CAP: IN NO EVENT SHALL KALIUM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR ANY PURCHASE EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO KALIUM IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR ₹1,000 INR (APPROXIMATELY $20 USD), WHICHEVER IS GREATER.

8. User Indemnification

You agree to defend, indemnify, and hold harmless Kalidas Aneesh (KALIUM) from and against any and all claims, liabilities, damages, losses, and reasonable legal and accounting expenses arising out of or in any way connected with: (a) your breach of these Terms, (b) your violation of any third-party intellectual property or privacy right, or (c) your misuse of digital files or sound packs obtained from this site.

9. Governing Law & Exclusive Jurisdiction

These Terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of India, without regard to principles of conflicts of law.

• Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or transactions conducted on this website shall be resolved through binding arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Bengaluru, Karnataka, India.
• Exclusive Court Jurisdiction: Subject to arbitration, the competent courts situated in Bengaluru, Karnataka, India shall have exclusive jurisdiction over all legal proceedings.
• Class Action Waiver: You agree that all disputes must be resolved on an individual basis. You explicitly waive any right to commence, join, or participate as a plaintiff or class member in any class, collective, or representative proceeding against KALIUM.
